Wings Studio Beta Participation Terms

Program Overview

These Beta Participation Terms (the "Terms") govern your access to Wings Studio, Cognet Inc.'s environment for long-horizon work, including graph memory, composable project surfaces, and agent runtime features (collectively, the "Beta Services"). By accepting these Terms you agree to evaluate Wings Studio, provide feedback on features and workflows, and keep all non-public information confidential until general availability.

Eligibility and Enrollment

You confirm you are at least 18 years old and have the authority to bind your organization if you are participating on its behalf.

We may approve or deny waitlist entries and beta access at our discretion and may ask for verification of your age or affiliation.

Permitted Use

We grant you a limited, revocable, non-transferable license to access Wings Studio solely for beta evaluation, including testing the composable project surfaces, graph memory features, and AI agent capabilities.

You will not reverse engineer, publicly disclose, sell, or use Wings Studio for production workloads without written consent. This includes deploying agent workflows, storing production data in graph memory, or building customer-facing applications on the platform during the beta period.

Feedback and Ownership

You agree to share feedback on Wings Studio features including project surfaces, graph memory, agent workflows, and general workspace experience ("Feedback").

Feedback is provided "as is". Cognet may use Feedback to improve Wings Studio without restriction or compensation. All intellectual property rights in Wings Studio, including its graph architecture, UI components, and agent framework, remain with Cognet.

Confidentiality

All non-public information about Wings Studio, including unreleased features, agent capabilities, graph architecture, UI components, roadmaps, pricing, and technical documentation, is Confidential Information.

You will protect Confidential Information using reasonable care, limit access to people evaluating Wings Studio with you, and notify us promptly if an unauthorized disclosure occurs. Screenshots and recordings of the workspace interface are considered Confidential until general availability.

Data Handling

Your use of Wings Studio is governed by our Privacy Notice. We may collect diagnostic data, workspace usage patterns, agent execution metrics, and graph performance statistics to improve the platform.

Do not upload regulated or production data (including PHI, payment card data subject to PCI DSS, or data about individuals under 18) to Wings Studio without written approval. During beta, Cognet may analyze diagnostic data, workspace usage patterns, agent execution metrics, graph performance statistics, feedback, and derived evaluation signals to improve Wings Studio.

Cognet will not use raw workspace content to train or fine-tune foundation models without your explicit opt-in. Opt-in trajectory contributions will be governed by the retention, redaction, and deletion controls disclosed when you contribute them.

Term and Termination

These Terms apply from the date you accept them and continue until Wings Studio reaches general availability or your beta access is revoked.

We may suspend or terminate your Wings Studio access at any time for any reason. You may leave the beta program by notifying beta@cognet.ai. Upon termination you will delete any locally stored Wings Studio materials, exported data, and cease accessing the platform.

Disclaimer of Warranties

WINGS STUDIO IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. WE DO NOT GUARANTEE THE AVAILABILITY, RELIABILITY, OR ACCURACY OF THE PLATFORM, INCLUDING AI AGENT OUTPUTS, GRAPH MEMORY OPERATIONS, OR UI COMPONENT BEHAVIOR.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, COGNET WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, OR BUSINESS ARISING FROM YOUR USE OF WINGS STUDIO, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Our total cumulative liability arising out of or relating to Wings Studio beta access will not exceed one hundred U.S. dollars (US$100).

Governing Law

These Terms are governed by the laws of the State of California, excluding conflict-of-law rules. Venue for any dispute will be San Francisco County, California, and the parties waive jury trials.
